Fernview Environmental Pty Ltd [2026] NSWSC 1052

Ben Katekar SC and Dominik Breznik appeared for DDT Enviro Pty Ltd (‘DDT’) in the Supreme Court of NSW matter In the matter of Fernview Environmental Pty Ltd [2026] NSWSC 1052.

The proceeding was an application by the plaintiff, Begistics Public Company Limited (‘Begistics’), for orders compelling the first defendant, Fernview Environmental Pty Ltd (‘Fernview ‘), to register a transfer of 30,000 shares in Fernview to Begistics.

DDT successfully opposed relief being granted under ss 1071F(2), 175 and 1071H of the Corporations Act 2001 (Cth). In accordance with DDT’s submissions, the Court found that Fernview had “just cause” for refusing to register the share transfer.

This judgment provides an important addition to case law concerning the meaning of “just cause” in s 1071F(2) of the Corporations Act 2001 (Cth) and the circumstances in which a company may decline to register a transfer of shares.
